Terms of Service
v0.1 — last updated 2026-05-21. Plain language. By using CoinVoyage, you agree to these terms.
What CoinVoyage is
CoinVoyage is an AI-powered chat agent for crypto, operated by CoinVoyage Inc, a Nevada (United States) corporation. You talk to the agent; it executes cross-chain swaps, friend payments, and x402 settlements on your behalf, using non-custodial wallets you authorize it to sign for via Privy's delegated session signers.
CoinVoyage operates as a software service. It does not provide banking, brokerage, custody (with the limited Sui-keypair exception described in our custody disclosure), or financial advisory services. CoinVoyage Inc is not registered as a money transmitter, broker-dealer, or investment adviser in any state or other jurisdiction.
What CoinVoyage is NOT
- Not a bank. Your balance is not FDIC-insured.
- Not a broker-dealer. We don't make investment recommendations.
- Not a fiat on/off ramp. You bring crypto in; you take crypto out. We don't process credit cards or bank transfers.
- Not a custodian (of EVM/Solana keys). Privy MPC keeps signing authority split — see custody disclosure.
- Not insured. There is no insurance product backing user balances.
Eligibility
By using CoinVoyage, you confirm:
- You are at least 18 years old.
- You are not located in, ordinarily resident in, or accessing CoinVoyage from a jurisdiction where we are not authorized to operate. We enforce geo-restrictions at sign-up.
- You are not on any sanctions list maintained by the OFAC, EU, UN, UK, or equivalent authority.
- You will not use CoinVoyage in furtherance of any illegal activity, including money laundering, terrorist financing, fraud, or tax evasion.
- You are the rightful owner of the crypto you transact with.
Your account
- You are responsible for keeping your email login secure. Loss of email access may result in permanent loss of wallet access.
- You authorize CoinVoyage to sign transactions on your behalf through Privy's delegated session signers. You may revoke this authorization at any time via the /revoke command, after which CoinVoyage cannot sign anything for you until you re-authorize.
- One account per person. Multi-accounting is grounds for termination.
- We may suspend or terminate any account at our discretion if we suspect fraud, abuse, or violation of these terms.
Fees
CoinVoyage's fee structure for v0.1:
- Swap fees: Built into the route quoted by the CoinVoyage Swap API. You see the source-USD-value and destination-USD-value before confirming any swap — the difference includes our fee plus network gas plus DEX fees.
- Network gas fees: Paid in the source chain's native gas token. We pass these through at cost; we do not mark up gas.
- x402 fees: The endpoint operator sets the fee; we don't take a margin.
- Friend payments: Treated as swaps. Same fee structure.
We reserve the right to introduce additional fee tiers (subscriptions, priority routing) with at least 14 days notice.
Not financial advice
Nothing CoinVoyage's agent says is investment advice. The agent describes what it can do; it does not recommend buying, selling, or holding any specific asset. If you need investment advice, talk to a licensed financial adviser in your jurisdiction.
Risks you accept
Crypto is risky. Specifically:
- Volatility. Token values fluctuate. The agent's quoted destination value can swing materially between quote and settlement.
- Smart-contract risk. Swaps route through Uniswap, Aerodrome, Jupiter, Cetus, and others. Bugs in these contracts are outside our control.
- Stable-coin de-peg. USDC is issued by Circle. We don't control Circle.
- Slippage and refunds. Same-chain small swaps may refund due to fee/impact stacking. Funds are returned to your wallet but the swap doesn't complete.
- Bridge / cross-chain risk. Cross-chain settlement depends on the underlying bridge or facilitator. Their failure modes affect your transaction.
- Limited operator-held key on Sui. Privy does not yet offer Sui signing, so CoinVoyage holds an encrypted Sui keypair on your behalf as a temporary measure. A breach of the encryption master key would compromise Sui balances. This goes away when Privy ships Sui signing; in the meantime, you can export your Sui key any time from Settings. Detailed in our custody disclosure.
- Regulatory risk. The legal status of crypto changes. The list of U.S. states and other jurisdictions in which CoinVoyage operates may change, and geographic restrictions may expand or contract over time.
- Loss of email access. If you lose access to the email you signed up with, recovery may be impossible.
Acceptable use
You agree NOT to:
- Use CoinVoyage for money laundering, terrorist financing, sanctions evasion, or any illegal activity in your jurisdiction.
- Send funds to or receive funds from any address on a sanctions list.
- Probe, scan, or attempt to compromise CoinVoyage's infrastructure.
- Reverse-engineer the agent, scrape conversation data at scale, or otherwise extract proprietary information.
- Use CoinVoyage on behalf of a third party without disclosing that arrangement to us.
- Impersonate another person, including by claiming a Privy account is yours when it isn't.
Service availability
CoinVoyage is provided "as is" and "as available." We make no uptime guarantees. We may modify, suspend, or discontinue any part of the service at any time, with or without notice. In a shutdown scenario, we will give at least 30 days notice and provide a key-export window so users can move funds before access is removed.
Termination
We may terminate or suspend your account if you violate these terms, attempt to defraud the service, or use CoinVoyage in ways that create legal or operational risk for us. Termination does not affect on-chain balances — your private key (Sui) or your share of the MPC key (EVM/Sol) remain yours. We will assist with key export for terminated accounts where legally permitted.
You may delete your account at any time by emailing support@coinvoyage.io.
Disputes — [COUNSEL: finalize]
This section is a placeholder pending counsel finalization. CoinVoyage Inc is a Nevada corporation. The final terms will specify:
- Mandatory arbitration vs. court resolution
- Class-action waiver, if any
- Venue and seat of arbitration (likely a U.S. forum)
- Time limits for bringing claims
For v0.1, any dispute will be addressed in good faith by emailing legal@coinvoyage.io. The final version of these terms will replace this section with binding arbitration / venue language reviewed by counsel.
Limitation of liability
To the maximum extent permitted by law: CoinVoyage and its operators are not liable for any indirect, incidental, consequential, special, or exemplary damages arising from your use of the service, including loss of funds, loss of data, or loss of business opportunity. Total cumulative liability for any direct damages is limited to the greater of (a) the fees you paid to CoinVoyage in the 90 days before the event, or (b) USD 100.
Some jurisdictions don't allow limitation of certain damages; in those jurisdictions, the above limits apply only to the extent permitted.
Indemnification
You agree to indemnify and hold harmless CoinVoyage and its operators against any claims arising from your use of the service, your violation of these terms, or your violation of any law or third-party rights.
Changes to these terms
We may update these terms when our practices change. Material changes are announced in the app and via email at least 14 days before they take effect. Continued use of CoinVoyage after the effective date constitutes acceptance. If you don't accept the new terms, you should delete your account before they take effect.
Governing law — [COUNSEL: finalize]
CoinVoyage Inc is organized under the laws of the State of Nevada, United States. The final choice-of-law clause and forum-selection clause are pending counsel review and will be published here when finalized. Until then, these terms are interpreted in good faith under principles consistent with Nevada and U.S. federal law as applied to a software service of this kind.
